Terms of Service

These terms govern access to and use of eglowsChat, the WhatsApp Business support, automated assistant and campaign platform provided by FLEITAS SOFTWARE SA (“EGLOWS”). By creating an account or using the service, the business customer (the “Customer”) accepts these terms in full.
1. Description of the service
eglowsChat allows the Customer to:
- Receive and reply to WhatsApp conversations from a single web interface.
- Review the full history of each conversation.
- Enable or disable, conversation by conversation, an automated assistant that answers support questions about the Customer’s business.
- Create message templates and submit them to Meta for review.
- Send reminders and notifications using approved templates.
- Send template marketing campaigns to recipients who consented to receive them.
- Manage the phone numbers associated with its WhatsApp Business Account.
eglowsChat runs on the WhatsApp Business Platform operated by Meta Platforms, Inc.EGLOWS does not own WhatsApp and does not act on its behalf.
2. Account and credentials
Access requires personal, non-transferable credentials. The Customer is responsible for keeping them confidential, for the actions taken from its account, and for notifying us without delay of any unauthorised use. We may suspend access where there is a well-founded security risk.
3. Acceptable use
The Customer agrees not to use eglowsChat to:
- Send unsolicited or bulk messages, or messages without the recipient’s prior consent.
- Distribute unlawful, misleading, defamatory or discriminatory content, or content that infringes third-party rights.
- Impersonate any person or organisation.
- Obtain credentials, payment details or sensitive information under false pretences.
- Circumvent the platform’s technical, quality or messaging limits.
The Customer must also comply with the WhatsApp Business Policy, the WhatsApp Messaging Policy and the Meta Platform Terms. Breaching these policies may lead Meta to restrict the number or the account, which is not attributable to EGLOWS.
4. Recipient consent
The Customer represents that it holds valid consent from each recipient before messaging them, and is solely responsible for the lawfulness of the data it loads into the platform and for the content it sends. It must handle its recipients’ opt-out and deletion requests with the same diligence the applicable law requires.
5. The 24-hour window and templates
Under WhatsApp policy, free-form messages may only be sent within 24 hours of the recipient’s last message. Outside that window, only templates approved by Meta may be sent. eglowsChat enforces this restriction automatically, both for replies written by a person and for those produced by the automated assistant. Approving, categorising or rejecting a template is Meta’s decision alone.
6. Automated assistant
The automated assistant is an optional feature that the Customer enables or disables separately on each conversation. Its use is subject to the following rules:
- Business support use only. The assistant is designed to answer questions about the Customer’s activity: products, services, opening hours, prices, appointments, orders, shipments and related procedures. It is not a general-purpose conversational assistant and the Customer undertakes not to offer or configure it as one, nor to use it to answer questions unrelated to its activity.
- Excluded subject matter. The assistant must not be used to provide medical, legal, financial, psychological or any other advice requiring professional licensing, nor to handle emergencies or situations involving risk to life or health.
- Transparency. The Customer must inform recipients that they are interacting with an automated system and must always offer a way to reach a person.
- Responsibility for the content. The Customer is responsible for the knowledge base it loads and for the replies the assistant issues on its behalf, and must supervise its operation. Automatically generated replies may contain errors or omissions and do not constitute a binding offer unless the Customer confirms it.
- No automated decisions with legal effects. The assistant must not be used to make, on its own, decisions producing legal effects concerning the recipient or similarly significantly affecting them.
7. Marketing campaigns
Campaigns are sent using approved templates and are subject to these conditions:
- Specific, demonstrable consent. The Customer may only include in a campaign recipients who agreed to receive commercial communications, and must be able to evidence when and how that agreement was obtained. Having received an enquiry from someone does not amount to their consent to receive marketing.
- Mandatory opt-out. The Customer must offer a clear way to opt out, process requests without delay, and exclude anyone who has opted out from subsequent sends.
- Correct category. Promotional templates must be registered with Meta under the marketing category. Sending promotional content using templates registered as utility or authentication is prohibited.
- Reasonable frequency. The Customer must avoid a sending frequency that recipients would find intrusive. Complaints and blocks degrade the number’s quality rating and may lead Meta to impose messaging limits or restrict the account.
- Prohibited content. Goods or services whose sale is restricted by the WhatsApp Business Policy may not be promoted.
8. Availability and support
We aim to keep the service continuously available, but it may be interrupted by scheduled maintenance, incidents or third-party failures, including Meta’s own infrastructure or that of the language model provider behind the assistant. Support enquiries are handled at contacto@eglows.com.
9. Intellectual property
The eglowsChat software, interface and documentation are the property of FLEITAS SOFTWARE SA. The Customer retains ownership of its content, conversations and data, and grants us a limited licence to process them for the sole purpose of providing the service.
10. Data protection
The processing of personal data is governed by our Privacy Policy, which sets out the scope of the automated assistant and of marketing communications. Individuals may request deletion of their data at any time from User data deletion.
11. Limitation of liability
The service is provided “as is”. To the fullest extent permitted by law, EGLOWS is not liable for loss of profits, loss of data or indirect or consequential damages arising from the use of or inability to use the service, nor for the content of replies generated by the automated assistant on the Customer’s behalf, nor for Meta’s decisions regarding the Customer’s account, numbers or templates.
12. Suspension and termination
Either party may terminate the relationship at any time. We may suspend access immediately in the event of a breach of these terms or of Meta’s policies. Once the relationship ends, the Customer’s data is deleted within 30 days, unless a legal retention obligation applies.
13. Changes to these terms
We may update these terms. The version in force is always published at this address, with its update date. Continued use of the service after publication constitutes acceptance.
14. Governing law and jurisdiction
These terms are governed by the laws of Uruguay. Any dispute shall be submitted to the competent courts of that jurisdiction.
